Terms of Use

The Gates Corporation, on behalf of itself and its affiliates (collectively, “Gates”), is pleased to present the opportunity for our community of employees, customers, engineers, distributors, suppliers and other guests to use the transfer.gates.com, web-based file transfer service (the “Transfer Service”) in order to transfer large files in connection with your business relationship with Gates. 

This Gates transfer.gates.com Terms of Use Agreement (this “Agreement” or these “Terms of Use”) provides important information, terms and limitations concerning your use of Gates’ web-based file transferring Transfer Service.  It is your responsibility to read this Agreement and understand that it applies to your use of the Transfer Service.  You should consider printing a copy for your reference.  This Agreement is in addition to other terms and conditions applicable to your use of Gates websites, including Gates’ standard website Terms of Use and Gates’ Privacy Policy.

Your consent to the this Agreement includes your consent to our automatic accessing of your computer for purposes of receiving, delivering and storing files that are transferred via the Transfer Service (“User Files”), and the sharing of User Files between and among Gates and third parties designated by you in connection with your use of the Transfer Service.  

YOU ACKNOWLEDGE AND AGREE THAT, BY CLICKING “I AGREE” TO THIS AGREEMENT, REGISTERING FOR USE OF THE TRANSFER SERVICE, OR TRANSFERRING OR RECEIVING ANY USER FILES USING THE TRANSFER SERVICE, YOU HAVE READ, UNDERSTAND AND AGREE TO THIS AGREEMENT, WHETHER OR NOT YOU HAVE REGISTERED AND CREATED AN ACCOUNT WITH GATES.  IF YOU DO NOT AGREE TO THESE TERMS, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE TRANSFER SERVICE.  If you accept or agree this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to this Agreement and, in such event, “you” and “your” will refer and apply to that company or other legal entity.


Description of Transfer Service

Gates provides the Transfer Service as a convenience to its employees, customers, suppliers and other guests.  Gates reserves the right to suspend, modify, reduce or terminate the Transfer Service or your access to the Transfer Service at any time, without any notice to you.  The Transfer Service allows users to exchange large files by providing a registered user the ability to upload a User File to the Transfer Service (a user who uploads a User File to the Transfer Service is an “Owner”).  The Transfer Service will then send an email with a link to recipients designated by the Owner (a “Recipient”).  The Recipient may use the link to access the associated User Files.  NOTE that the Transfer Service does not associate access to a User File with specific, individual recipients designated by the Owner – anyone with access to the link may access the associated User File.


Transfer Service or This Agreement May Be Changed or Terminated Without Notice

Gates reserves the right to modify the terms of this Agreement at any time.  You acknowledge and agree that Gates may establish revised practices and policies concerning access to and use of the Transfer Service, including without limitation, the maximum size of the User Files that a user may access and use via the Transfer Service as contemplated herein, the maximum number of days that User Files will be stored by the Transfer Service, the maximum number of times a user may access the Transfer Service in a given period of time, and the maximum number of recipients to which a user may send a User File.  Gates will use reasonable efforts to notify you of any changes, which may require that you acknowledge the revised terms.  You should regularly review the terms that apply to your use of the Transfer Service by visiting this link: Terms of Use. 


Not a Backup Transfer Service – User File Deletion

IMPORTANT:  You should maintain your own copies of all User Files that you send or receive via the Transfer Service.  Gates does not provide the Transfer Service as a backup Transfer Service, and you should not use or treat the Transfer Service as a backup option for your User Files.  Gates will regularly delete User Files from the Transfer Service – TYPICALLY AFTER 7 DAYS – but Gates reserves the right to do so at any time.  Furthermore, your access to the Transfer Service may be suspended, modified or terminated at any time, which means you may not be able to retrieve User Files.  Gates will have no liability for any User Files that are lost, deleted, modified, damaged or otherwise impaired or rendered inaccessible while in transit to or from the Transfer Service, or while in storage on the Gates system.


Limits on Security – Confidential Information and Trade Secrets

GATES MAKES ABSOLUTELY NO GUARANTEES ABOUT THE SECURITY OF THE USER FILES.  YOU SHOULD NOT SUBMIT OR TRANSMIT HIGHLY SENSITIVE MATERIALS USING THE TRANSFER SERVICE.  YOU MUST EXERCISE DUE CARE WITH RESPECT TO SELECTING THE USER FILES THAT YOU SUBMIT AND TRANSMIT USING THE TRANSFER SERVICE, AND YOU ASSUME THE FULL RISK AND POTENTIAL CONSEQUENCES OF ANY UNINTENDED ACCESS TO OR USE OF YOUR USER FILES.

Gates employs reasonable security measures to protect User Files, including password controls for accessing the Transfer Service, but Gates assumes no responsibility for ensuring the security of any User Files that you transfer using the Transfer Service.  For example, after you upload a User File to the Transfer Service and designate a Recipient for that User File, then the Transfer Service will generate an email for the Recipient with a link that will allow access to your User File – anyone who acquires a copy of that link may access the associated User File.  Accordingly, you use the Transfer Service strictly at your own risk and should exercise appropriate discretion about the sensitivity of the materials you submit to the Transfer Service, or under what conditions you make the User Files available once they are transferred through the Transfer Service.  For example, you may use certain functionality to lock a document with a separate password, so that even if an unauthorized user gains access to the User File, the unauthorized user still will not be able to open the file without the password (which you could deliver to your intended Recipient separately, increasing the total security for your transfer).  If you believe your user ID and/or password become or may have become compromised, contact Gates immediately.


Consent to Access and Modification

You acknowledge that by utilizing the Transfer Service, you consent to (a) the access to any computer or device from which you utilize the Transfer Service, and (b) the storage, transmission and sharing of your User Files by Gates.  Accordingly, you hereby grant to Gates a license, in connection with providing the Transfer Service to you, to (i) use, copy, modify, transmit, distribute, store and cache any User File that you choose to upload to, transfer via or download from the Transfer Service, whether that User File resides on your computer or device, Gates’ systems (or the systems of third parties utilized by Gates to provide the Transfer Service on Gates’ behalf) or the computer or device of a third party designated by you through the Transfer Service, and (ii) copy, transmit, publish and distribute your User Files to others designated by you through the Transfer Service.


Registration and Information

In order to access and use certain features of the Transfer Service, you must register and establish create user account, which requires a user identification and a password (an “Account”).  Gates reserves the right to suspend or terminate your Account at any time, for any reason, without notice to you.  You are responsible for safeguarding your user identification and password.  You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your password, whether or not you have authorized such activities or actions. You will immediately notify Gates of any unauthorized use of your Account. The information you provide to establish your Account is subject to Gates’ Privacy Policy.

General Prohibitions

As conditions to your use of the Transfer Service, you will not:

  • Upload, store, access or transmit any User File: (i) that you do not have the lawful right to copy, transmit, distribute, and display (including any User Files that would violate any confidentiality or fiduciary obligations that you might have with respect to the User Files); (ii) for which you do not have the consent or permission of each identifiable person in the User Files to use the name, voice, signature, photograph, or likeness of each such person (to the extent each is implicated by the User Files); (iii) that infringes or misappropriates the intellectual property rights or violates the privacy rights of any third party (including without limitation, copyright, trademark, patent, trade secret, or other intellectual property right, moral right, or right of publicity); (iv) that is false or misleading; (v) that is defamatory; (vi) that is obscene, pornographic, or offensive; (vii) that promotes bigotry, racism, hatred, or harm against any individual or group; or (viii) that violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
  • Access, tamper with, or use any non-public areas of the Services or Gates’ computer systems, or the technical delivery systems of Gates’ providers;
  • Attempt to probe, scan, or test the vulnerability of the Transfer Service, or any related system, or network, or breach any security or authentication measures used in connection with the Transfer Service and such systems and networks;
    • Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Transfer Service;
    • Harm or threaten to harm other users in any way, or interfere with, or attempt to interfere with, the access of any user, host or network, including without limitation, by sending a virus, overloading, flooding, spamming, or mail-bombing the Transfer Service;
    • Send unsolicited email, junk mail, spam, chain letters, promotions, or advertisements for products or services;
    • Impersonate or misrepresent your affiliation with any person or entity;
    • Violate any applicable law or regulation, including, without limitation, (a) by using the Transfer Service to export or re-export any technology, data, information or other content in violation of any United States or other law or regulation prohibiting such export or re-export: (i) into any United States embargoed countries; or (ii) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals, or the U.S. Department of Commerce’s Denied Person’s List or Entity List; or (b) by using the Transfer Service, (i) while located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; or (ii) if you are listed on any U.S. Government list of prohibited or restricted parties;
    • Encourage or enable any other individual to do any of the foregoing.

Gates will have the right to investigate and prosecute violations of any of the above, including without limitation, possible infringement of any intellectual property rights and possible security breaches to the fullest extent of the law. Gates may involve and cooperate with law enforcement authorities in prosecuting users who violate this Agreement. You acknowledge that, although Gates has no obligation to monitor your access to or use of the Transfer Service, it has the right to do so for the purposes of operating the Transfer Service, to ensure your compliance with this Agreement, or to comply with applicable law, or the order or other requirement of a court, administrative agency, or other governmental body.

Gates reserves the right at all times to disclose, in its sole discretion, any User Files as necessary to (a) satisfy any law, regulation, or governmental request, or (b) reduce or prevent what Gates considers to be, in its sole discretion, a serious or imminent threat to your health or safety, or the health or safety of another.  In appropriate circumstances, Gates may terminate of the accounts and/or delete the User Files of users who repeatedly infringe or are believed to be or are charged with repeatedly infringing the intellectual property rights of third parties.


Ownership of and Licenses to Your Files

Except with respect to any User Files or portions thereof: (a) that Gates initially provided to you; (b) that were owned by Gates prior to your receipt of such materials or content; (c) that were developed by you for Gates; (d) the ownership of which has otherwise been transferred to Gates; or (e) that contain, incorporate or otherwise reflect any intellectual property of Gates, including any copyrighted material, patents, inventions, trade secrets or trademarks of Gates or any of its third party customers, suppliers or business affiliates (such files or contents, “Gates Files”), Gates does not claim any ownership rights in any User Files that you make available through the Transfer Service.  By making User Files and any portions thereof that are not Gates Files (“Your Files”) available through the Transfer Service, you grant Gates the nonexclusive, worldwide, transferable right, on a royalty-free basis, with a right to sublicense this right only to third parties assisting Gates in providing the Transfer Service to use, copy, distribute and process Your Files through the Transfer Service on your behalf and on behalf of your recipients for the purposes of providing you with the Transfer Service and administering your requests, including without limitation, facilitating the secure storage, transfer, and delivery of Your Files. 

Additionally, you grant to Gates and its employees, officers, contractors and other agents all rights to use Your Files for the business purposes for which you have transferred Your Files (which may include, as appropriate, copying, modifying, distributing, publishing, using, making, selling, offering to sell, importing or otherwise exploiting Your Files and the intellectual property rights embodied therein) in accordance with the understanding between you and Gates regarding Your Files.

You represent and warrant that you own or have the necessary licenses, rights, consents and permissions to grant the licenses to Your Files, as described above, and to otherwise submit, copy, store and transfer Your Files using the Transfer Service.


Ownership of and Licenses to Gates Files

Subject to the terms and conditions of this Agreement, Gates grants to you a limited, revocable, non-exclusive, non-transferable license to use the Gates Files provided by Gates to you via the Service, solely for the business purposes established between you and Gates with respect to such Gates Files (which could include, for example, reviewing specifications for Gates products or designs, configuring your products to be compatible with Gates products, etc.) (such established purpose, the “Permitted Use”). 

Except as contemplated by the Permitted Use, you will not copy, modify, transfer, rent, lease, sublicense, assign, reverse assemble, reverse compile or create derivative works of the Gates Files; nor may you disclose the Gates Files to third parties; nor may you access, download or use the Gates Files for any purpose other than the Permitted Purpose.  To the extent any of the foregoing restrictions on reverse engineering, decompiling or other use of the Gates Files are not enforceable under applicable law, then the restriction will apply to the greatest extent consistent with applicable law, and you will not engage in such activities without first giving Gates written notice of your intended course of action sufficiently in advance of such action to allow Gates to provide any relevant assistance or information that might obviate the need for such action.  Gates reserves the right to modify the Gates Files and related data and information at any time.  Unless there is a separate written agreement between you and Gates providing otherwise, you acknowledge and agree that Gates retains sole ownership of all intellectual property rights in the Gates Files, including but not limited to patent, copyright, trade dress, trade secret, and trademark rights, and that you obtain no rights (by implication or otherwise) other than the express limited license to the Gates Files set forth in this section.

The Gates Files contain information that constitutes valuable confidential and trade secret information of Gates.  You will not disclose the Gates Files to any third party unless expressly permitted to do so by Gates.  You will not be bound by the foregoing restriction on disclosure to the extent you can show by competent evidence that any Gates File or portion thereof consists of information that: (a) is or becomes a part of the public domain through no act or omission of yours; (b) is already in your possession with no confidentiality restrictions; (c) is received by you from a third party with no confidentiality restrictions; (d) is released from confidential treatment by written consent of Gates; or (e) is independently developed by you without use of the Gates File.


Proprietary Rights and Feedback

As used herein, “Gates Content” means all text, graphics, images, audio, video, information or other materials made available by Gates through or by providing the Transfer Service (including, for example, the software that operates the Transfer Service, the look and feel of the webpages used to access the Transfer Service and the Gates logos and other trademarks represented on such webpages), not including any User Files or Gates Files.  “Feedback” means any comments, suggestions, ideas, improvements, instructions, designs or other commentary that you provide to Gates concerning any of the Gates Content.

No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Gates or its licensors, except for the licenses and rights expressly granted in these Terms of Service.  As between you and Gates, all right, title, and interest in and to the Services and Gates Content is and will remain the exclusive property of Gates and its licensors, even if Gates incorporates any Feedback into subsequent versions of the Services or otherwise uses such Feedback. The Transfer Service and Gates Content are protected by copyright, trademark, and other laws of both the United States and foreign countries. Except as contemplated by these Terms of Service, you will not copy, modify, transfer, rent, lease, sublicense, assign, reverse assemble, reverse compile or create derivative works of the Gates Content; nor may you disclose the Gates Content to third parties; nor may you access, download or use the Gates Content for any other purpose.  To the extent any of the foregoing restrictions on reverse engineering, decompiling or other use of the Gates Content are not enforceable under applicable law, then the restriction will apply to the greatest extent consistent with applicable law, and you will not engage in such activities without first giving Gates written notice of your intended course of action sufficiently in advance of such action to allow Gates to provide any relevant assistance or information that might obviate the need for such action.  Gates reserves the right to modify the Gates Content and related data and information at any time. 


Instructions for Claims of Copyright or Intellectual Property Infringement or Other Forms of Inappropriate Content

You will not use the Transfer Services to transmit, route, or provide connections to, or store any material that infringes or misappropriates any copyrights, patents, trade secrets or otherwise violates or promotes the violation of the intellectual property rights of any third party.  Gates has adopted and implemented a policy that provides for the termination in appropriate circumstances of the accounts of users who repeatedly infringe or are believed to be infringing the rights of intellectual property rights owners. 

Gates reserves the right, in its sole discretion, at any time and without prior notice, to remove or disable access to any User Files that it believes to be in violation of these Terms of Transfer Service or otherwise harmful to the Services.

If you believe that any content posted on any of our Forum Sites (or any other Gates websites) infringes your copyrights or trademarks; then please provide the following information:

  • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
  • a description of the copyrighted work or other intellectual property right that you claim has been infringed or misappropriated;
  • a description of where the material that you claim is infringing or misappropriated is located or has been used on the site or through the Transfer Service;
  • your address, telephone number, and email address;
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or other intellectual property right owner, its agent, or the law; and
  • a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright or other intellectual property right owner or authorized to act on the owner’s behalf.

If you believe that any content posted transmitted using the Transfer Service (or any other Gates websites) is inappropriate for other than for reasons of possible copyright or trademark infringement, or if you otherwise have rights that are being violated by User Files being transmitted via the Transfer Service, please provide the following information:

  • A description of the content in question, including, if possible, the names of files or recipients;
  • A description of why you believe it is inappropriate for transmission via the Transfer Service; and
  • A means that Gates may use to contact you

Gates Trademarks

Gates, The Gates Corporation and transfer.gates.com and all other Gates trademarks, service marks, product names, and trade names of Gates appearing on the Transfer Service or any Gates Files are owned by Gates.  All other trademarks, service marks, product names, and logos appearing on the Transfer Service are the property of their respective owners. you may not use or display any trademark, service mark, product name, trade name, or logo appearing on the Transfer Service without the owner’s prior written consent.


Disclaimer of Warranties

YOUR USE OF THE TRANSFER SERVICE AND GATES FILES IS STRICTLY AT YOUR OWN RISK.

THE TRANSFER SERVICE AND GATES FILES ARE PROVIDED STRICTLY “AS-IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, GATES EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

GATES MAKES NO WARRANTY THAT THE TRANSFER SERVICE OR GATES FILES WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR WILL OPERATE AT ANY PARTICULAR SPEED.  GATES DOES NOT SCREEN ANY OF THE USER FILES OR GATES FILES TRANSMITTED VIA THE TRANSFER SERVICE FOR VIRUSES, WORMS, MALWARE, SPYWARE OR OTHER FORMS OF POTENTIALLY HARMFUL COMPUTER CODE.  YOU ACKNOWLEDGE AND AGREE THAT GATES WILL NOT BE RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR THE COMPUTER SYSTEM OF ANY THIRD PARTY RESULTING FROM USE OF THE TRANSFER SERVICE, GATES FILES OR ANY OTHER USER FILES THAT YOU TRANSMIT OR RECEIVE VIA THE TRANSFER SERVICE.   

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM GATES OR THROUGH THE TRANSFER SERVICE OR GATES FILES WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.  SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.


Indemnity

You will defend, indemnify, and hold harmless Gates, its officers, directors, affiliates, employees and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of, or in any way connected with, your access to or use of the Transfer Service, any Gates Content, or your violation of these Terms of Transfer Service, including, without limitation, third party claims that User Files submitted to the Transfer Service by you infringe or misappropriate the intellectual property rights, privacy rights, publicity rights, or moral rights of a third party.


Limitation of Liability

IN NO EVENT WILL GATES BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF USE, DATA, BUSINESS OR PROFITS, AND DAMAGE TO HARDWARE OR OTHER SOFTWARE) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF SERVICE, THE USE OR PERFORMANCE OF ANY USER FILES, OR FROM THE USE OF, OR INABILITY TO USE THE TRANSFER SERVICE OR ANY USER FILES SENT THROUGH, STORED BY, OR DOWNLOADED FROM THE TRANFER SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GATES HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, EVEN IF ANY LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE.

IN NO EVENT WILL GATES’ AGGREGATE LIABILITY TO YOU OR TO ANY THIRD PARTY FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE TRANSFER SERVICE OR ANY USER FILES, GATES FILES OR GATES CONTENT EXCEED $1,000 (U.S.).

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND GATES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.


Additional Agreements

These Terms of Service represent the terms and conditions that govern your use of the Transfer Service and Gates Files generally.  However, these Terms of Service do not replace or supersede the terms of any other agreements between you and Gates concerning your relationship with Gates and the business purposes for which you have been provided access to the Transfer Service, which might consist of, as examples: Gates’ standard website Terms of Use and Gates’ Privacy Policy; other confidentiality or non-disclosure agreements between you and Gates; supply agreements; purchase agreements; consulting agreements; services agreements and license agreements (such other applicable agreements, “Additional Agreements”).  These Terms of Service are intended to be read and interpreted in conjunction and harmony with the terms of any Additional Agreement to the greatest extent possible, and the terms of such Additional Agreements will govern your relationship with Gates in the event of any irreconcilable conflict with these Terms of Service.


Notices

You consent to the use of: (i) electronic means to complete these Terms of Service and to deliver any notices or other communications permitted or required hereunder (including notices with respect to actual or alleged breaches of security); and (ii) electronic records to store information related to these Terms of Service or your use of the Transfer Service or Gates Files. Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms of Transfer Service, will be in writing and given: (a) by Gates via email (in each case to the address that you provide); or (b) by posting to the Transfer Service main site or through the Transfer Service itself.  For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.


General

You will not assign, sublicense, delegate or otherwise transfer (by sale of assets, merger or otherwise) any of your rights or duties established by these Terms of Service.  Any attempt to do so is void and of no effect.  Gates may freely assign these Terms of Service and the rights granted hereunder without restriction.  Nothing in these Terms of Service will constitute a partnership or joint venture between you and Gates.  In the event that any provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions of these Terms of Service will remain in full force and effect. The failure of Gates to enforce any right or provision of these Terms of Service will not be deemed a waiver of such right or provision. The headings and captions are for convenience only and are not to be used in the interpretation of these Terms of Service.  If any provision of these Terms of Service is held to be unenforceable, unconscionable or void as a matter of law, then that provision will be deemed to be severed from these Terms of Service and the remainder of these Terms of Service will remain enforceable to the greatest extent permissible under applicable law.


Contacting Gates
